Firstly, the Client must decide the name for the new legal entity and type of corporate structure.
Followed by determining shareholders, corporate purpose, and share capital.
The law firm or legal team of a shelter company like Mexcentrix will proceed with drafting the bylaws and appear before public notary.
Once incorporated by means of a public deed, the new company shall be registered before the Public Registry of Commerce (Registro Público de Comercio), and before the tax authorities.
Under the shelter model your company can start operations in as few as 90 days.
Nevertheless, if you are starting operations as a stand-alone, the time frame is much longer and will depend on your company needs. For example, if your company wishes to obtain the IMMEX Program and VAT & IEPS Certification, will affect the start-up time as to obtain this programs is not quick.

In addition, Mexico allows maquiladoras to pay taxes under the safe harbor method. In which they pay taxes according to the tax profits which equals to the greatest amount equivalent to one of the following percentages:
- 6.9% of the value of the assets
- 6.5% of the amount of ordinary costs and expenses of their operation.
The IMMEX authorization is an instrument which allows the temporary import of goods that are used in an industrial process or service , to produce, transform or repair foreign goods imported temporarily for subsequent export , without paying VAT and deferring the general import tax.
In order to be able not to pay VAT, the company must also count with the VAT and IEPS Certification.
